Terms of Service

These Terms of Service ("Terms") govern your access to and use of HubConnector, a bidirectional sync service that connects HubSpot with ConnectWise PSA for managed service providers. HubConnector is an Australian business ("HubConnector", "we", "us" or "our"). By creating an account, starting a trial, or otherwise using HubConnector, you ("you", "your", or "customer") agree to be bound by these Terms.

1. Acceptance of these terms
By registering for an account, starting a free trial, or using any part of HubConnector, you accept these Terms in full. If you are accepting these Terms on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation, and "you" in these Terms refers to that organisation.
2. The service
HubConnector reads and writes records between HubSpot and ConnectWise PSA according to the field mappings set for your account and the matching rules you configure. The features available to you depend on your subscription plan, as described on our pricing page. We may add, change, or remove features over time as the product develops.
3. Accounts and admin responsibility
You must provide accurate account information and keep your login credentials secure. You are responsible for all activity that happens under your account, including actions taken by anyone who uses your account with your permission. Tell us promptly at hello@hubconnector.io if you believe your account has been compromised.
4. Your authorisation to access connected platforms
To use HubConnector, you connect your own HubSpot and ConnectWise PSA accounts using OAuth or API credentials that you provide or authorise. By connecting a platform, you authorise HubConnector to read and write records in that platform on your behalf, strictly to provide the sync service you have configured.
You are responsible for holding valid licences and subscriptions for each connected platform, and for complying with that platform's own terms of service and API usage policies. HubConnector is not affiliated with, and does not warrant the availability or behaviour of, HubSpot or ConnectWise.
5. Acceptable use
You must not use HubConnector to violate any law, infringe anyone's rights, or interfere with the operation or security of the service. You must not attempt to reverse engineer, resell, or use HubConnector to build a competing product, and you must not use the service in a way that places unreasonable load on shared infrastructure. We may investigate suspected breaches of this section and take action under section 11.
6. Trial, subscription, billing, renewal and cancellation
New accounts start on a 14-day free trial of the Professional plan. No credit card is required to begin a trial. To keep using HubConnector after the trial ends, you add a payment method using the Manage billing button on your account's Billing page, which opens Stripe's secure billing portal, or by emailing hello@hubconnector.io for a secure Stripe payment link. If no payment method is on file when the trial ends, Professional features (deal and line-item sync, reconciliation and dead-letter management) stop, and we may suspend the rest of the service.
Paid plans are Starter, Professional and Enterprise, billed monthly in advance through our payment processor, Stripe. Current pricing is published at hubconnector.io/#pricing. Your fees cover the features listed for your plan on that page. If we offer additional integrations in future, they are included in your plan only where that page lists them for your plan, and we will tell you the price of any addition before you are charged for it. Fees are charged in US dollars (USD) and exclude GST and other taxes, which are added where they apply. Subscriptions renew automatically each billing period until cancelled. To cancel, use the Manage billing button on your account's Billing page to open Stripe's secure billing portal, or email hello@hubconnector.io; cancellation takes effect at the end of the current billing period, and no further payments will be charged after that.
Refunds: fees are non-refundable except where required by the Australian Consumer Law.
7. Your data
As between you and us, you own the data you hold in your connected platforms and the configuration you create in HubConnector (such as matching rules and match settings). You grant us a licence to access, process, and store that data solely to provide, maintain, and support the service for you. We do not sell your data and do not use it for advertising.
8. Service availability
We aim to keep HubConnector available and reliable, but we do not guarantee uninterrupted or error-free operation. Except where an Enterprise plan includes an uptime service level agreement, the service is provided without a formal availability commitment. Enterprise SLA terms, if any, are as agreed in writing in your Enterprise order.
9. Sync accuracy, backups and your responsibility
HubConnector writes data into your connected platforms based on the field mappings and matching rules set for your account and the auto-match proposals you accept. You are responsible for confirming that the field mappings for your account suit your data, for reviewing auto-match proposals before you accept them, and for the consequences of the configuration you approve. Duplicate-preflight checks and the audit trail help you catch and trace mistakes, and we recommend reviewing them. To the extent permitted by law, we are not liable for changes made to your data in a connected platform that result from the sync configuration you set up or approved.
HubConnector is a sync service, not a backup service. Because a sync copies changes from one platform to another, an incorrect or unwanted edit made in one platform can be copied into the other and overwrite the value that was there. You are responsible for keeping your own backups of the data in your connected platforms, and for knowing what restore options each platform provides. Our own database backups cover only the information HubConnector needs to run the sync, such as record links, match settings and the audit trail. They do not contain a full copy of your HubSpot or ConnectWise PSA records and cannot be used to restore them.
10. Changes to connected platforms
HubSpot and ConnectWise may change their own APIs, terms, rate limits, or product behaviour at any time, outside our control. If a change to a connected platform breaks or degrades the sync, we will work to adapt HubConnector where reasonably possible, but we cannot guarantee a fix within any particular timeframe.
11. Suspension and termination
We may suspend or terminate your access if you materially breach these Terms, including the acceptable use section, or if your account is past due on payment after reasonable notice. You may stop using HubConnector and cancel your subscription at any time. On termination, your right to use the service ends, and section 14 (disclaimers and limitation of liability) and section 13 (confidentiality) continue to apply.
12. Intellectual property
We own all rights, title, and interest in HubConnector, including its software, design, and documentation, other than the data and configuration you own under section 7. Nothing in these Terms transfers any of our intellectual property to you, except a limited, non-exclusive, non-transferable right to use the service for your own business during your subscription.
13. Confidentiality
Each party may receive confidential information from the other in connection with the service, such as non-public business or technical information. Each party agrees to use the other's confidential information only to perform its obligations under these Terms, and to protect it with the same care it uses for its own confidential information, and no less than reasonable care.
14. Disclaimers and limitation of liability
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy that cannot lawfully be excluded under the Australian Consumer Law or any other applicable law. To the extent the law allows us to limit our liability for a failure to comply with a consumer guarantee, our liability is limited, at our option, to re-supplying the service or paying the cost of having it re-supplied.
Subject to the paragraph above, HubConnector is provided "as is" without warranties of any kind, express or implied, other than those that cannot be excluded by law. To the maximum extent permitted by law, our total liability arising out of or relating to these Terms or the service, however caused, is limited to the greater of the total fees you paid us in the 12 months before the event giving rise to the claim and US$100, and we are not liable for indirect, consequential, or special loss, including loss of profits or loss of data in your connected platforms.
15. Indemnity
You agree to indemnify us against claims, losses, and reasonable costs arising from your breach of these Terms or your misuse of the service. We agree to indemnify you against claims, losses, and reasonable costs arising from our breach of these Terms, in each case to the extent permitted by law and subject to the limitation of liability in section 14.
16. Changes to these terms
We may update these Terms from time to time. If we make a material change, we will notify you by email or by a notice within the product at least 30 days before the change takes effect. Where a change is required by law or is needed to address a security risk, it may take effect sooner, and we will give you as much notice as is reasonably practicable. If you do not agree to a change, you may cancel your subscription before it takes effect. Continuing to use HubConnector after a change takes effect means you accept the updated Terms.
17. Assignment
You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign or transfer these Terms to a company or other entity that we control, or that takes over the HubConnector business, by giving you notice by email. From the date of that notice, the assignee is bound by these Terms in our place.
18. Governing law
These Terms are governed by the laws of Queensland, Australia, and you submit to the non-exclusive jurisdiction of its courts.
